Terms of Service

Welcome to AudienceInsights (“AudienceInsights,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of the AudienceInsights website, platform, applications, software, data analysis tools, APIs, and related services (collectively, the “Services”).
Please also review our Privacy Policy, available at audienceinsights.io/privacy.html, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, disclose, retain, and otherwise process personal information in connection with the Services.
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Services.
If you are using the Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.
1. Eligibility
You must be at least 18 years old to use the Services.
By creating an account or using the Services, you represent and warrant that:
- You are at least 18 years old;
- You have the legal capacity to enter into these Terms;
- The information you provide to us is accurate and complete;
- You will maintain the accuracy of your account information; and
- Your use of the Services will comply with all applicable laws and regulations.
2. The AudienceInsights Services
AudienceInsights provides tools designed to help users analyze professional networks and audience data and generate actionable insights.
Depending on your subscription or plan, the Services may include:
- Professional network analysis;
- Audience and connection enrichment;
- Professional and company information analysis;
- Demographic and firmographic insights;
- Interest and behavioral insights;
- AI-powered analysis and recommendations;
- Search and filtering tools;
- Reports and dashboards;
- Data exports;
- Lists and saved searches;
- API access;
- Other data analysis and intelligence functionality; and
- New features and functionality that we may introduce from time to time.
We may modify, improve, suspend, or discontinue portions of the Services at any time.
Some features may be available only to certain subscription plans.
3. Your Account
Certain features require you to create an AudienceInsights account.
You agree to:
- Provide accurate and complete information;
- Keep your account information current;
- Maintain the confidentiality of your login credentials;
- Use reasonable security measures to protect your account;
- Notify us promptly if you believe your account has been compromised; and
- Accept responsibility for activity occurring under your account.
You may not share your account credentials with unauthorized individuals or permit others to access the Services through your account except as expressly permitted by your subscription plan.
You are responsible for all activity conducted through your account.
4. Subscriptions and Billing
Certain features of the Services require a paid subscription.
4.1 Subscription Plans
Subscription pricing, features, usage limits, and billing frequency are described on the applicable AudienceInsights pricing page or order form.
We reserve the right to change pricing or subscription plans. Where required by law, we will provide advance notice of material pricing changes.
4.2 Billing
By purchasing a subscription, you authorize AudienceInsights or our third-party payment processor to charge the applicable fees to your selected payment method.
Unless otherwise stated, subscriptions automatically renew at the end of each billing period.
You are responsible for applicable taxes, duties, or other governmental charges associated with your purchase, except taxes based on AudienceInsights’ income.
4.3 Usage Limits
Your subscription may include limits on searches, analyses, records, exports, API calls, uploaded data, users, or other usage.
You agree not to circumvent, disable, or otherwise attempt to bypass these limits.
We may restrict or suspend usage that materially exceeds your plan limits or appears designed to circumvent our pricing or usage controls.
5. Cancellation and Refunds
You may cancel your subscription through the cancellation mechanism made available by AudienceInsights or by contacting:
Unless otherwise stated on your subscription plan or order form, cancellation will take effect at the end of your current billing period.
You will generally retain access to the paid Services through the end of the period for which you have already paid.
Unless otherwise required by law or expressly stated in your subscription agreement, subscription fees are non-refundable.

6. Acceptable Use
You agree to use the Services only for lawful and legitimate purposes.
You may not:
- Violate any applicable law or regulation;
- Violate the rights of another person or organization;
- Use the Services to facilitate fraud, harassment, abuse, or other harmful activity;
- Attempt to gain unauthorized access to the Services or another user’s account;
- Interfere with or disrupt the Services;
- Introduce malware, viruses, or other harmful code;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except where expressly permitted by applicable law;
- Circumvent technical restrictions, usage limits, authentication mechanisms, or security controls;
- Scrape, crawl, or systematically extract information from the Services except through functionality expressly provided by AudienceInsights;
- Use the Services to create or contribute to a competing database, product, or service;
- Resell, sublicense, lease, rent, distribute, or commercially exploit the Services except as expressly authorized by AudienceInsights;
- Share your account with unauthorized users;
- Use the Services to send spam or unlawful unsolicited communications;
- Use information obtained through the Services to discriminate against individuals based on protected characteristics;
- Use the Services for unlawful surveillance or profiling;
- Use the Services for credit eligibility, insurance eligibility, employment screening, housing decisions, or other high-impact decisions where prohibited by applicable law;
- Attempt to re-identify individuals from aggregated or de-identified information;
- Use the Services in a manner that violates a third party’s privacy rights or terms of service; or
- Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with another user’s use of the Services.
We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts.
7. Your Data and Privacy
You may provide information to AudienceInsights through uploaded files, integrations, forms, APIs, or other features of the Services (“Customer Data”).
You retain ownership of Customer Data that you provide to us.
You grant AudienceInsights a limited, worldwide, non-exclusive license to host, store, copy, process, transmit, analyze, and otherwise use Customer Data solely as necessary to:
- Provide and operate the Services;
- Process your requests;
- Generate analyses, insights, reports, and recommendations;
- Maintain and improve the Services;
- Protect the security and integrity of the Services;
- Prevent fraud and abuse; and
- Comply with applicable law.
Privacy Policy
Our collection, use, disclosure, retention, security, and other processing of personal information is governed by our Privacy Policy, available at:

The Privacy Policy is incorporated into these Terms by reference and forms part of your agreement with AudienceInsights.
The Privacy Policy describes, among other things:
- The information we collect;
- Information you provide to us;
- Information collected automatically;
- Audience and professional information processed through the Services;
- How we use information;
- Our legal bases for processing where applicable;
- How information may be shared with service providers and business customers;
- Our use of aggregated and anonymized information;
- Data retention and security practices; and
- Applicable privacy rights.
If there is a conflict between these Terms and the Privacy Policy concerning the processing of personal information, the Privacy Policy will control with respect to that processing.
You acknowledge that your use of the Services may involve the processing of personal information belonging to you or to other individuals whose information you provide to AudienceInsights.
You are responsible for ensuring that you have the appropriate rights, permissions, consents, or other lawful basis required to provide such information to AudienceInsights.
8. Data You Provide
You are responsible for the Customer Data you upload, submit, connect, or otherwise provide through the Services.
You represent and warrant that you have all rights, permissions, consents, and lawful bases necessary for AudienceInsights to process that information as contemplated by these Terms and the Privacy Policy.
You must not provide information to AudienceInsights when doing so would:
- Violate applicable law;
- Violate another person’s privacy rights;
- Violate another person’s contractual rights;
- Violate the terms governing the source of the information; or
- Require AudienceInsights to obtain additional licenses or permissions that you have not obtained.
You should not upload sensitive personal information unless it is necessary for your use of the Services and you have a lawful basis for doing so.
9. Professional Network and Third-Party Data
AudienceInsights may analyze information originating from professional networking platforms, websites, databases, or other third-party sources.
Information obtained from third-party sources may be incomplete, outdated, inaccurate, restricted, or unavailable.
You acknowledge that:
- AudienceInsights does not control third-party platforms;
- Third-party platforms may change their APIs, policies, access controls, or data availability;
- Some information may not be available because of privacy settings or technical restrictions;
- AudienceInsights does not guarantee that information from third-party sources is accurate or complete; and
- Your use of third-party information may be subject to additional terms imposed by those third parties.
You are responsible for ensuring that your use of information obtained through the Services complies with applicable laws, these Terms, the Privacy Policy, and third-party terms that apply to the information or platform.
10. AI-Generated Insights
AudienceInsights may use artificial intelligence and machine-learning technologies to analyze data and generate insights, recommendations, classifications, summaries, or other outputs.
Depending on the feature being used, information may be processed by third-party technology and AI providers acting on our behalf. Our handling of personal information in connection with these services is described in our Privacy Policy.
AI-generated results are provided as analytical assistance and should not be treated as guaranteed facts, professional advice, or a substitute for independent verification.
You acknowledge that AI systems can produce inaccurate, incomplete, outdated, or misleading results.
You are responsible for reviewing and validating AI-generated information before relying on it or taking action based upon it.
AudienceInsights does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated outputs.
11. Data Accuracy and Service Limitations
AudienceInsights is an analytical tool. We do not guarantee that the information, insights, recommendations, or other outputs generated through the Services will be:
- Accurate;
- Complete;
- Current;
- Error-free;
- Uninterrupted;
- Available at all times;
- Suitable for a particular purpose; or
- Appropriate for any particular business decision.
Results may vary depending on the quality, availability, completeness, and accuracy of the data provided to us or obtained from third parties.
You are responsible for independently evaluating information before making business, financial, marketing, hiring, sales, or other decisions.
12. Intellectual Property
The Services and all related software, technology, interfaces, designs, graphics, text, documentation, trademarks, logos, and other content are owned by AudienceInsights or its licensors and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted under these Terms, no rights are granted to you.
Subject to your compliance with these Terms and payment of applicable fees, AudienceInsights grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes during your subscription period.
You may not:
- Copy or reproduce the Services;
- Modify or create derivative works from the Services;
- Sell, resell, sublicense, or distribute the Services;
- Reverse engineer or attempt to discover source code;
- Remove proprietary notices;
- Use AudienceInsights trademarks without permission; or
- Use the Services to build a substantially similar or competing product.
13. Feedback
If you provide suggestions, ideas, feature requests, recommendations, or other feedback about AudienceInsights (“Feedback”), you grant AudienceInsights the right to use that Feedback without restriction or compensation to you.
You understand that AudienceInsights may use Feedback to develop, improve, and market its products and services.
14. Confidentiality
Each party may receive confidential or proprietary information from the other party in connection with the Services.
The receiving party agrees to:
- Use confidential information only for purposes related to the relationship between the parties;
- Protect confidential information using reasonable safeguards; and
- Not disclose confidential information to third parties except to employees, contractors, service providers, or advisors who have a legitimate need to know and are subject to confidentiality obligations.
Confidential information does not include information that:
- Is publicly available through no breach of these Terms;
- Was already lawfully known to the receiving party;
- Is independently developed without use of the confidential information; or
- Is lawfully obtained from a third party without a confidentiality obligation.
A party may disclose confidential information when required by law, provided that, where legally permitted, it gives the other party reasonable notice.
15. Third-Party Services
The Services may integrate with or depend upon third-party services, including cloud infrastructure, payment processors, analytics providers, AI providers, authentication providers, data providers, or other third-party platforms.
AudienceInsights is not responsible for the availability, performance, security, policies, or practices of third-party services.
Your use of third-party services may be subject to additional terms and privacy policies imposed by those providers.
If a third-party service becomes unavailable or changes its functionality, AudienceInsights may be unable to provide some or all corresponding features.
16. Security
We use reasonable technical and organizational measures designed to protect the Services and Customer Data.
Our collection, storage, use, disclosure, and protection of personal information is also governed by our Privacy Policy.
However, no system or method of electronic transmission or storage is completely secure.
You acknowledge that:
- Internet transmissions may involve risks;
- No security system can guarantee absolute protection;
- You are responsible for protecting your account credentials; and
- You should notify us promptly if you believe your account has been compromised.
17. Suspension and Termination
We may suspend or terminate your access to the Services if:
- You materially breach these Terms;
- You fail to pay applicable fees;
- Your use creates a security risk;
- Your use exposes AudienceInsights to legal or regulatory risk;
- You engage in fraud or abuse;
- You violate our acceptable-use requirements; or
- We reasonably believe suspension is necessary to protect the Services, our users, or third parties.
Where reasonably practical, we will provide notice and an opportunity to remedy the violation before termination.
We may also discontinue the Services, in whole or in part, at any time.
Upon termination:
- Your right to access the Services will end;
- You must stop using the Services;
- Any outstanding fees become immediately due where applicable; and
- We may delete, anonymize, or retain your data in accordance with our Privacy Policy and applicable law.
Our Privacy Policy describes applicable data retention and deletion practices following termination.
Provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AUDIENCEINSIGHTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- AVAILABILITY;
- RELIABILITY; AND
- SECURITY.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED;
- THE SERVICES WILL BE ERROR-FREE;
- DEFECTS WILL BE CORRECTED;
- THE SERVICES WILL MEET YOUR REQUIREMENTS;
- DATA WILL BE ACCURATE, COMPLETE, OR CURRENT; OR
- THE SERVICES WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.
YOU USE THE SERVICES AT YOUR OWN RISK.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIENCEINSIGHTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF AUDIENCEINSIGHTS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO AUDIENCEINSIGHTS FOR THE SERVICES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH LIABILITY IS ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
Some jurisdictions do not allow certain limitations of liability. To the extent those limitations are prohibited, they will apply only to the maximum extent permitted by applicable law.
20. Indemnification
You agree to defend, indemnify, and hold harmless AudienceInsights and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or relating to:
- Your use of the Services;
- Your Customer Data;
- Your violation of these Terms;
- Your violation of applicable law;
- Your violation of another person’s rights; or
- Your misuse of information obtained through the Services.
21. Changes to the Services
We are continually improving AudienceInsights and may modify, add, or remove features from the Services.
We may:
- Add new features;
- Remove existing features;
- Change usage limits;
- Change integrations;
- Modify interfaces;
- Update pricing; or
- Discontinue portions of the Services.
We will make reasonable efforts to provide notice of material changes where appropriate.
22. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we may provide notice through the Services, by email, or by updating the effective date at the beginning of these Terms.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
If you do not agree to updated Terms, you must stop using the Services.
Changes to the Privacy Policy will be governed by the update provisions contained in the Privacy Policy.
23. Governing Law
These Terms are governed by the laws of Canada, without regard to conflict-of-law principles.
To the extent permitted by law, disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Canada.
Nothing in this section limits any mandatory rights or protections that cannot legally be waived under the laws applicable to you.
24. Dispute Resolution
Before initiating formal legal proceedings, you agree to contact AudienceInsights at hello@audienceinsights.io and provide a reasonable opportunity to resolve the dispute informally.
The parties agree to make a good-faith effort to resolve disputes before pursuing formal proceedings.
Nothing in this section prevents either party from seeking emergency injunctive or equitable relief when necessary to prevent unauthorized access, misuse of intellectual property, disclosure of confidential information, or other immediate harm.
25. Force Majeure
AudienceInsights will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:
- Natural disasters;
- War;
- Terrorism;
- Government actions;
- Internet or telecommunications failures;
- Cloud infrastructure failures;
- Cyberattacks;
- Labor disputes;
- Power outages;
- Third-party service failures; or
- Other events beyond our reasonable control.
26. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
AudienceInsights may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
27. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
28. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be modified or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
29. Entire Agreement
These Terms, together with our Privacy Policy, and any applicable order form, subscription agreement, or other written agreement between you and AudienceInsights, constitute the entire agreement between you and AudienceInsights regarding your use of the Services.
Our Privacy Policy is expressly incorporated into these Terms by reference and governs our processing of personal information.
If there is a conflict between these Terms and the Privacy Policy concerning the processing of personal information, the Privacy Policy will control with respect to that processing.
If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control to the extent of the conflict.
